National Biodiversity Network Trust Annual General Meeting 2024
NOTICE IS HEREBY GIVEN that a general meeting of the above-named Charity will take place on Thursday 21 November from 16:45 until 17:00 at the Merseyside Maritime Museum, Liverpool.
As this will be taking place at the annual NBN Conference, any conference delegates (including non-members) are able to join this meeting. However, only the eligible members are entitled to cast a vote on relevant items, either in person or via the proxy voting form.

- Finance and Audit Commitee Chairperson’s Report (View the NBN Trust 2023-24 financial statement)
- Ordinary Resolutions
- Appointment of Accountant and Auditor
- Approval of NBN Trust Articles of Association
- Close of meeting at 17:00
Resolutions
Business presented by Trustees. The members of the Charity are invited to consider and, if thought fit, pass the following resolutions:
Ordinary Resolutions
A. That Rogers Spencer is appointed as Auditor of the Charity to act as such until further notice, and that the Trustees be authorised to fix their remuneration.
B. Approval of the revisions made to the Articles of Association :
- Revisions to the gender specific terminology used, such as he / she and Chairman
- Clarifying the definition of ‘taxable permanent trading activity’
- Removed the reference of Treasurer as it is not a requirement to have one in place.
- Updates to the terms concerning joining the Trust as a member (article 10), with the key change reflecting current practice that members do not need to apply to join but can simply join. The wording around the Trust’s ability to decline a membership has also been revised.
- A point added to article 12 around the selection process for new Trustees to reflect current practice that ensures selection is fair, transparent and in line with Equality, Diversity and Inclusion best practice.
- Updated points 12.20 , 12.21, 12.22 and 12.23 regarding the Trustees’ length of service to bring this up to date with current practice.
- To remove all financial liability on members in the event of the Trust being wound up. The previous Articles placed liability on the members, limited to £10 per member.

Voting
Members eligible to vote can do so in advance. All members have been sent a link to the voting form.
Please submit the voting form by 9.00am on Monday 18 November 2024.
Please note we are unable to accept postal forms. Only member’s votes will be counted.

Please check the list of members to see if you or your organisation is listed. It is not a complete list as some members have chosen not to be included so please email support@nbn.org.uk and we will be happy to confirm if you or your organisation is a member.

Our organisation is a member and will be attending the Conference and AGM in person. Can we vote on the day?
Yes. The nominated representative of your organisation will be identified during the registration process and will be given a voting slip.
I am an individual member and will be attending the Conference and AGM in person. Can I vote on the day?
Yes. During the registration process you will be given a voting slip.
I am not a member but want to vote. How do I join?
Thank you for your support! Please visit the Joining Page and fill out the online form. This will need to be submitted along with the appropriate membership fee by Monday 4 November 2024 so that we can complete the set up process in time.
I am not attending the NBN Conference but would like to view the AGM. How do I do this?
At the current time we are unable to confirm if we will be recording the AGM. If we do, it will be available via our YouTube channel two weeks later.
If you wish to attend only the AGM in person please email support@nbn.org.uk by 9.00am on Monday 4 November. Attending only the AGM will not enable access to the NBN Conference.
